General Terms and Conditions for Deliveries Abroad-Export (GTC)
1. Scope of Application
1.1 These General Terms and Conditions (GTC) apply to all business relationships between our company (hereinafter referred to as “Supplier”) and its customers (hereinafter referred to as “Customer”) for the sale, delivery, and distribution of goods, in particular German HVAC and building technology products.
1.2 These GTC apply exclusively. Conflicting or deviating terms of the Customer shall not be recognized unless expressly agreed in writing. (Solar-Log)
1.3 These terms shall also apply to all future transactions with the Customer without the need for repeated reference.
2. Conclusion of Contract
2.1 All offers, quotations, and product descriptions are non-binding and subject to change.
2.2 A contract is only concluded upon written confirmation by the Supplier or upon delivery of the goods. (Solar-Log)
2.3 Technical data, drawings, and product specifications are only binding if expressly confirmed in writing.
3. Prices and Payment Terms
3.1 All prices are quoted in EURO and are exclusive of applicable taxes, duties, and shipping costs unless otherwise agreed.
3.2 Additional costs such as packaging, transport, insurance, customs duties, and bank charges shall be borne by the Customer. (Solar-Log)
3.3 Payments are due within the agreed payment period stated on the invoice.
3.4 In case of late payment, the Supplier reserves the right to charge default interest and suspend further deliveries.
4. Delivery and Transfer of Risk
4.1 Delivery shall be made in accordance with agreed Incoterms (e.g., DAP, EXW, FOB), unless otherwise specified.
4.2 Delivery dates are approximate unless expressly agreed as binding.
4.3 The risk of loss or damage passes to the Customer upon handover to the carrier or shipping agent. (Solar-Log)
4.4 Delays caused by force majeure or circumstances beyond the Supplier’s control shall extend delivery periods accordingly.
5. Export Control and Compliance
5.1 Deliveries are subject to applicable national and international export control regulations.
5.2 The Customer is responsible for complying with all import, export, and re-export regulations, including sanctions and embargo laws. (Solar-Log)
5.3 The Customer shall not export or use the goods in restricted countries without prior written approval.
6. Retention of Title
6.1 The Supplier retains ownership of the delivered goods until full payment has been received.
6.2 The Customer is entitled to resell the goods in the ordinary course of business but assigns all claims arising from such resale to the Supplier.
7. Warranty and Liability
7.1 The Customer must inspect the goods immediately upon delivery and notify the Supplier of any defects without delay.
7.2 Warranty claims are limited to repair or replacement at the Supplier’s discretion.
7.3 The Supplier shall not be liable for indirect damages, loss of profit, or consequential damages, unless caused by gross negligence or intent.
8. Intellectual Property Rights
8.1 All rights to documents, drawings, software, and technical information remain with the Supplier.
8.2 The Customer receives a non-exclusive right to use the products and related documentation for their intended purpose. (Solar-Log)
8.3 Unauthorized reproduction, distribution, or modification is prohibited.
9. Force Majeure
9.1 The Supplier shall not be liable for delays or non-performance due to force majeure events such as:
Natural disasters
War, terrorism, or civil unrest
Government actions or trade restrictions
Supply chain disruptions
9.2 In such cases, delivery deadlines shall be extended accordingly.
10. Confidentiality
10.1 Both parties agree to treat all confidential information received during the business relationship as strictly confidential.
10.2 This obligation remains in force after termination of the contract.
11. Applicable Law and Jurisdiction
11.1 These GTC and all legal relationships between the parties shall be governed by the laws of the Federal Republic of Germany.
11.2 The place of jurisdiction shall be the registered office of the Supplier.
11.3 The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. (Ritter Solartechnik)
12. Final Provisions
12.1 If any provision of these GTC is or becomes invalid, the validity of the remaining provisions shall remain unaffected.
12.2 Amendments and supplements must be made in writing.
